Terms of Service & Merchant Agreement

1. Definitions and Interpretation
In these Terms of Service and Merchant Agreement (collectively, the "Agreement"), unless the context otherwise requires, the following terms shall have the meanings assigned to them:
"PayUnit" means the online payment aggregation platform operated by Seven Common Factor Sarl, a company duly incorporated under the laws of the Republic of Cameroon with its principal place of business in Douala.
"Merchant" means any individual or legal entity that has registered for and been approved to use PayUnit's services, including but not limited to businesses, organizations, and developers.
"Customer" means the end-user who makes payments to Merchants through the PayUnit platform.
"Services" means all payment-related services provided by PayUnit, including but not limited to payment aggregation, POS services, disbursements, and invoicing.
"Merchant Wallet" means the electronic account maintained by PayUnit on behalf of the Merchant for the purpose of holding and settling funds.
"Transaction" means any payment, transfer, or financial operation processed through the PayUnit platform.
"KYC" means Know Your Customer, the process of verifying the identity of Merchants and their authorized representatives.
"PCI-DSS" means the Payment Card Industry Data Security Standard.
"CEMAC" means the Economic and Monetary Community of Central Africa (Communaute Economique et Monetaire de l'Afrique Centrale).
"ANIF" means the National Financial Investigation Agency (Agence Nationale d'Investigation Financiere) of Cameroon.
1.1 Interpretation
Unless the context otherwise requires, references to:
(a) "persons" include individuals, corporations, partnerships, and other legal entities;
(b) statutes and regulations include all amendments, consolidations, and re-enactments;
(c) "including" means including without limitation;
(d) "writing" includes electronic communications.
2. Regulatory Status and Disclaimers
2.1 Technical Service Provider Status
PAYUNIT IS A TECHNICAL SERVICE PROVIDER AND NOT A BANK, FINANCIAL INSTITUTION, OR MONEY TRANSMITTER. PayUnit provides technology services that facilitate payment processing but does not hold banking licenses and is not regulated as a financial institution under Cameroonian or CEMAC banking laws.
IMPORTANT NOTICE: PayUnit does not take deposits, issue loans, or provide any banking services.
2.2 Regulatory Compliance
PayUnit operates in compliance with:
(a) The OHADA Uniform Act on Commercial Law and Companies;
(b) CEMAC regulations governing payment systems;
(c) Cameroonian Law No. 2019/422 on the Repression of Money Laundering and Terrorism Financing;
(d) COBAC (Central African Banking Commission) guidelines applicable to payment service providers.
2.3 No Fiduciary Relationship
Nothing in this Agreement creates a fiduciary relationship, partnership, joint venture, or agency relationship between PayUnit and the Merchant. PayUnit acts as an independent contractor providing technical services only.
3. Account Registration and KYC Requirements
3.1 Eligibility Criteria
To register as a Merchant, you must:
(a) Be at least twenty-one (21) years of age;
(b) Have the legal capacity to enter into binding contracts;
(c) Not be subject to any sanctions or restrictions under applicable laws;
(d) Not appear on any prohibited persons lists maintained by ANIF, the UN, or other relevant authorities.
3.2 Individual Merchants
Individual Merchants must provide:
(a) A valid government-issued identification document (National Identity Card or Passport);
(b) A clear selfie holding ID or Passport.
3.3 Business Merchants
Business entities must provide:
(a) RCCM (Registre du Commerce et du Credit Mobilier) registration certificate;
(b) NIU (Numero d'Identification Unique) tax identification;
(c) Articles of Association or equivalent organizational documents;
(d) Valid identification of all directors and authorized signatories;
(e) Board resolution or authorization letter designating authorized users;
(f) Bank account details in the company's name.
(g) Proof of address (utility bill or bank statement not older than three months);
3.4 ANIF Verification
All applicants are subject to verification against:
(a) ANIF's list of suspicious persons and entities;
(b) International sanctions lists (UN, EU, OFAC);
(c) Politically Exposed Persons (PEP) databases;
(d) Known fraud and criminal databases.
PayUnit reserves the right to reject any application or terminate existing accounts based on verification results without prior notice.
3.5 Ongoing KYC Obligations
Merchants must:
(a) Notify PayUnit within 5 business days of any changes to registration information;
(b) Provide updated documentation upon request;
(c) Cooperate with periodic re-verification processes;
(d) Immediately report any suspected unauthorized access to their account.
4. Services Description
4.1 Payment Collection
PayUnit provides online payment collection services enabling Merchants to accept payments through multiple channels:
(a) Mobile Money: MTN Mobile Money, Orange Money (where available);
(b) Card Payments: Visa, MasterCard, and other major card networks;
4.2 POS Services
PayUnit offers an Android-based Point of Sale (POS) application for in-person payments:
(a) The POS app is provided as a software solution for compatible Android devices;
(b) Merchants are responsible for providing compatible hardware;
(c) Internet connectivity is required for transaction processing;
(d) Offline transaction capabilities, if available, are subject to specific limitations and settlement delays.
4.3 Disbursements
PayUnit provides bulk payout tools for Merchants to distribute funds:
(a) Merchants must pre-fund their disbursement balance before initiating payouts;
(b) Disbursement requests are processed subject to available funds;
(c) PayUnit does not provide credit or advance funds for disbursements;
(d) Recipient verification is the Merchant's responsibility.
4.4 Invoicing Services
PayUnit enables Merchants to send bills to customers via:
(a) Email invoicing with secure payment links;
(b) SMS notifications with payment instructions;
NB: The Merchant is solely responsible for the accuracy of invoice content and the legitimacy of the underlying transactions.
5. Wallet and Settlement Terms
5.1 Merchant Wallet
The Merchant Wallet is an electronic record of funds held on behalf of the Merchant:
(a) Funds in the Merchant Wallet do not constitute a deposit and do not accrue interest;
(b) The Merchant Wallet is not a bank account and is not insured by any deposit insurance scheme;
(c) PayUnit maintains records of all transactions and balances.
NO INTEREST: Funds held in the Merchant Wallet do not earn interest. PayUnit does not provide any return on funds held in the Wallet.
5.2 Settlement Times
Standard settlement schedules are as follows:
(a) Mobile Money Transactions: T+1 (one business day after transaction);
(b) Card Transactions: T+3 to T+7 (three to seven business days after transaction);
5.3 Rolling Reserve
PayUnit reserves the right to hold a rolling reserve for high-risk accounts:
(a) The reserve amount may be up to 10% of transaction volume;
(b) The reserve period is typically 90 days from the transaction date;
(c) Reserve requirements are determined based on risk assessment, including industry type, transaction history, and chargeback rates;
(d) PayUnit will notify Merchants of any reserve requirements in writing.
5.4 Settlement Methods
Funds may be settled to:
(a) The Merchant's registered bank account;
(b) Mobile Money wallet (subject to limits);
(c) Other settlement methods as agreed in writing. Merchants are responsible for providing accurate settlement account information. PayUnit is not liable for delays or losses resulting from incorrect account details.
6. Acceptable Use Policy
6.1 Prohibited Activities
Merchants are STRICTLY PROHIBITED from using PayUnit services for:

Unlicensed Gambling: Any gambling, betting, lottery, or games of chance operations without valid licenses from all applicable jurisdictions.

Weapons and Explosives: Sale, distribution, or promotion of firearms, ammunition, explosives, or dangerous weapons.

Ponzi Schemes and Fraud: Pyramid schemes, Ponzi schemes, multi-level marketing schemes with compensation primarily from recruitment, and any fraudulent financial schemes.

Adult Content: Pornography, escort services, adult entertainment, or sexually explicit materials.

Illegal Drugs: Sale, distribution, or promotion of narcotics, controlled substances, or drug paraphernalia.

Counterfeit Goods: Sale of counterfeit, pirated, or infringing products.

Money Laundering: Any activity designed to conceal the source of illegally obtained funds.
6.2 Fraud Rate Threshold
IMMEDIATE TERMINATION: PayUnit reserves the right to immediately terminate any Merchant account with a chargeback or fraud rate exceeding 1% of total transaction volume in any rolling 30-day period.
6.3 High-Risk Industries
The following industries require prior written approval and may be subject to additional scrutiny:
(a) Cryptocurrency and virtual currency exchanges;
(b) Forex trading and binary options;
(c) Debt collection services;
(d) Telemarketing and outbound sales;
(e) Travel and timeshare services;
(f) Subscription services with free trials.
6.4 Compliance Monitoring
PayUnit actively monitors transactions for suspicious activity and reserves the right to:
(a) Request additional documentation for specific transactions;
(b) Delay or withhold settlement pending investigation;
(c) Report suspicious activity to ANIF and other relevant authorities;
(d) Terminate services for any violation of this Acceptable Use Policy.
7. Fees and Charges
7.1 Transaction Fees
PayUnit charges fees based on an agreement by the Merchant. Contact us at [email protected].
7.2 Fee Deduction
Transaction fees are typically deducted at source from the transaction amount before settlement. Alternative billing arrangements may be available upon request.
7.3 Additional Charges
Additional charges may apply for:
(a) Chargeback processing fees;
(b) Refund processing fees;
(c) API overage fees;
(d) Custom integration services;
(e) Priority support services.
7.4 Currency Conversion
Transactions in currencies other than XAF (Central African CFA franc) are subject to currency conversion at rates determined by the card networks or payment providers, plus any applicable conversion fees.
8. Liability and Chargebacks
8.1 Merchant Liability
MERCHANT IS 100% LIABLE FOR ALL CHARGEBACKS, REFUNDS, AND DISPUTED TRANSACTIONS. This liability includes the full transaction amount plus any associated fees, fines, and administrative costs.
8.2 Chargeback Process
When a chargeback is initiated:
(a) PayUnit will notify the Merchant within 2 business days;
(b) The Merchant has 3 calendar days to provide evidence to dispute the chargeback;
(c) If the chargeback is upheld, the transaction amount plus fees will be deducted from the Merchant's account;
(d) PayUnit may withhold settlement of related transactions pending chargeback resolution.
8.3 Refund Policy
Merchants are responsible for establishing and communicating their own refund policies to customers. PayUnit will process refunds only upon the Merchant's explicit instruction through the dashboard or API.
8.4 Third-Party Service Limitations
PAYUNIT IS NOT LIABLE FOR DOWNTIME, SERVICE INTERRUPTIONS, OR FAILURES CAUSED BY:
(a) Telecommunications providers (MTN, Orange, etc.);
(b) Card networks (Visa, MasterCard);
(c) Banking partners;
(d) Internet service providers;
(e) Force majeure events including natural disasters, strikes, or government actions.
8.5 Limitation of Liability
To the maximum extent permitted by law:
(a) PayUnit's total liability shall not exceed the total fees paid by the Merchant in the 3 months preceding the claim;
(b) PayUnit shall not be liable for indirect, consequential, or punitive damages;
(c) PayUnit does not warrant uninterrupted or error-free service.
9. Developer and API Terms
9.1 API Access
Developers may access PayUnit's API subject to:
(a) Completion of the developer registration process;
(b) Agreement to these Terms of Service;
(c) Compliance with API documentation and usage guidelines;
(d) Maintenance of API credentials security.
9.2 Sandbox Environment
PROHIBITED: Developers MUST NOT use real customer data, real card numbers, or real personal information in the Sandbox environment. Only test data provided by PayUnit or synthetically generated test data may be used.
9.3 PCI-DSS Compliance
Developers integrating card payment functionality MUST:
(a) NEVER store raw credit card numbers, CVV codes, or magnetic stripe data;
(b) Use PayUnit's hostedpages to process Card payment.
9.4 Security Requirements
Developers must:
(a) Use HTTPS for all API communications;
(b) Implement proper authentication and authorization controls;
(c) Protect API keys and credentials;
(d) Report security vulnerabilities to PayUnit immediately;
(e) Not attempt to reverse engineer PayUnit's systems or APIs.
9.5 Rate Limits
API usage is subject to rate limits based on the Merchant's plan. Excessive usage may result in throttling or suspension of API access.
10. Data Privacy and Protection
10.1 Data Controller and Processor
For invoicing services and customer data:
(a) THE MERCHANT IS THE DATA CONTROLLER responsible for determining the purposes and means of processing customer data;
(b) PAYUNIT ACTS AS A DATA PROCESSOR processing data on behalf of the Merchant;
(c) PayUnit processes data only in accordance with the Merchant's instructions and applicable law.
10.2 Data Processing Agreement
By using PayUnit's invoicing services, the Merchant agrees that:
(a) Customer data provided for invoicing will be processed to deliver invoices and payment notifications;
(b) PayUnit will implement appropriate technical and organizational measures to protect personal data;
(c) PayUnit will not use customer data for purposes other than providing the invoicing service;
(d) Data will be retained only as long as necessary for the stated purposes or as required by law.
10.3 Data Security
PayUnit implements industry-standard security measures including:
(a) Encryption of data in transit and at rest;
(b) Access controls and authentication mechanisms;
(c) Regular security assessments and penetration testing;
(d) Incident response procedures;
(e) Staff training on data protection.
10.4 Customer Rights
Customers have the right to:
(a) Access their personal data;
(b) Request correction of inaccurate data;
(c) Request deletion of their data (subject to legal retention requirements);
(d) Object to processing for marketing purposes. Merchants must facilitate these requests and notify PayUnit of any customer data subject requests.
10.5 Cross-Border Transfers
Data may be transferred to and processed in countries outside Cameroon. PayUnit ensures that such transfers comply with applicable data protection laws through appropriate safeguards.
11. Termination and Suspension
11.1 Termination by Merchant
The Merchant may terminate this Agreement by providing 30 days' written notice. Outstanding obligations, including chargeback liabilities, survive termination.
11.2 Termination by PayUnit
PayUnit may terminate or suspend services immediately without notice for:
(a) Violation of the Acceptable Use Policy;
(b) Fraudulent activity or suspected fraud;
(c) Chargeback rate exceeding 1%;
(d) Failure to provide requested KYC documentation;
(e) Regulatory requirements or legal obligations.
11.3 Effects of Termination
Upon termination:
(a) All pending settlements will be processed according to the settlement schedule;
(b) Any reserve funds will be released after the reserve period expires;
(c) The Merchant remains liable for all chargebacks and refunds;
(d) API access will be revoked;
(e) PayUnit may retain data as required by law.
12. Governing Law and Dispute Resolution
12.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Cameroon, without regard to conflict of law principles.
12.2 Jurisdiction
Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the Courts of Douala, Cameroon.
12.3 Dispute Resolution
Before initiating legal proceedings, the parties agree to:
(a) Attempt to resolve disputes through good faith negotiations;
(b) If negotiations fail, submit to mediation under the rules of the Cameroon Chamber of Commerce; (c) If mediation fails, either party may proceed to litigation.
12.4 Limitation Period
Any claim arising from this Agreement must be brought within one (1) year from the date the cause of action accrued.
13. General Provisions
13.1 Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations.
13.2 Amendments
PayUnit may amend this Agreement by providing 30 days' notice. Continued use of the services after the effective date constitutes acceptance of the amended terms.
13.3 Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
13.4 Waiver
No waiver of any provision shall be effective unless in writing. Failure to enforce any right shall not constitute a waiver.
13.5 Assignment
The Merchant may not assign this Agreement without PayUnit's prior written consent. PayUnit may assign this Agreement without restriction.
13.6 Force Majeure
Neither party shall be liable for failure to perform due to causes beyond their reasonable control.
13.7 Notices

Merchant Acknowledgment
By registering for and using PayUnit services, the Merchant acknowledges that they have read, understood, and agree to be bound by these Terms of Service and Merchant Agreement.
